UTACSS CONSTITUTION


ARTICLE 1. GENERAL DESCRIPTIONS
Section 1
The full name of this organization (DuoLunDuoDaXue ZhongGuo XueSheng XueZhe LianYiHui in Mandarin) is the University of Toronto Association of Chinese Students and Scholars, or UTACSS in abbreviation.
Section 2
UTCSSA is officially registered at the University of Toronto as a non-profit, non-political, social organization of Chinese students and scholars, aiming at establishing and promoting good relationships with other CSSAs, Chinese and Canadian organizations.
The general goals of UTACSS are:
(1) To represent the wishes and protect the common interests of its members and their families,
(2) To coordinate and organize activities for the benefits of its members,
(3) To help its members adapt to the new cultural environment and develop capabilities in their specialty fields, and
(4) To promote the development of the Chinese culture in Canada and to unalienate the progress of economy, culture and science in China.

ARTICLE 2. MEMBERSHIP
Section 1
Any Chinese or Chinese Canadian student and scholar, including his/her family who
(1) is studying or working at the University of Toronto, or
(2) has ever worked or been educated at the University of Toronto, or
(3) presently resides in the Greater Toronto area and is interested in the UTACSS.
Section 2
Membership registration is held annually. The membership will be valid for the current term of UTACSS Executive Committee after registration and after submission of the membership fee.
Section 3
The validity of membership status can only be proved by the membership card issued by the current UTACSS Executive Committee. Section 4 Members aged 18 or over are entitled to the rights to vote in presidential election, and all members have the right to participate in any activity organized by the UTACSS. Section 5 Any member of the UTACSS must observe the constitution, protect and maintain the reputation of the UTACSS on all occasions.

ARTICLE 3. STRUCTURE OF ADMINISTRATION
Chapter 1. Membership Conference
Section 1 Membership Conference is the supreme power structure of the UTACSS.
Section 2 Membership Conference is held annually on the third weekend of August (alternative date may be scheduled by the Executive Committee and the Board of Directors under special circumstances ). Special meetings can be convened by the request of more than one-third of the members.
Section 3 Membership Conference has the authorities to revise the UTACSS constitution, elect or impeach the president of the Executive Committee and/or the Chair of Board of Directors.
Section 4 The agenda and rules of Membership Conference should be passed by a simple majority.
Section 5 Membership Conference resolutions should be determined by the voting of members, and a resolution is deemed adopted upon obtaining a simple majority approval.
Section 6 The power of Membership Conference is represented and exercised by (1) the Executive Committee, and (2) the Board of Directors.
Chapter 2. Executive Committee
Section 1 The Executive Committee consists of a president, one or two vice presidents, one general secretary, one treasurer, and several other members of executives. The Executive Committee has the top level executive power in the organization. Any member of the Executive Committee cannot be the member of the Board of Directors during his/her service term.
Section 2 The president should meet one of the following requirements, and is elected annually through the Membership Conference:
(1) The president should be a student currently registered as an undergraduate or graduate student, or
(2) The president should be a postdoctoral fellow, visiting scholar or research associate currently working at the University of Toronto, or hospitals, centers or other institutions affiliated with the University of Toronto, or
(3) The president should be a staff, alumnus/alumna, or faculty member of the University of Toronto.
Section 3 The term of the presidency is one year. One consecutive term is possible if necessary and approved by the Membership Conference.
Section 4 The responsibilities of the president include: (a) to act as the legal representative of the UTACSS, and (b) to head the Executive Committee. Section 5 Other members of the Committee are nominated by and under the direct leadership of the president. The replacement of executive members should be approved by a simple majority of the executive committee.
Chapter 3. The Board of Directors
Section 1 The Board of Directors consists of 5-7 members, headed by the Chair. Half of the members of the Board of Directors are biennially elected by the Membership Conference except for the first term. Half of the members of the Board of Directors of the first term can be on duty for more than two years. The Chair of the Board is selected from within.
Section 2 The mandate of the Board includes:
(1) To be responsible for the registration of the presidential candidates of the Executive Committee,
(2) To monitor the election of the president of the Executive Committee,
(3) To supervise the operation and transfer of the finance and properties of the UTACSS during the transition period,
(4) To interpret the items of the constitution and propose amendment of constitution to Membership Conference,
(5) To mediate the possible conflicts between the Executive Committee and other members of the UTACSS, and
(6) To convene a special meeting of Membership Conference as special situations warrant.
Section 3 The registration of the candidates for the members of the Board of Directors should be made directly to the Board of Directors. Any members of the UTACSS aged 18 or over is eligible to be a candidate of the Board of Directors. Section 4 The members of the Board of Directors cannot be cross-appointed in the Executive Committee.
Chapter 4. Financial Administration
Section 1 The UTACSS is a non-profit organization. It welcomes and appreciates financial support from its members, other individuals and organizations, on the basis that there is no conditions attached in conflict with the UTCSSA constitution. The UTACSS raises funds through mandatory membership fees (registration fees) and some organized activities.
Section 2 The Executive Committee should submit a financial report to its members at the Membership Conference.
Section 3 The UTACSS assigns an accountant for the maintenance of business accounts. Routine expenditures are decided by the Executive Committee.
Section 4 The UTACSS bank account should be a group account under the name of the UTACSS. The properties of the UTACSS belong to all members. The Executive Committee has the responsibility to take care of and the privilege to use the properties for the benefits of all UTACSS members.
Section 5 The UTACSS financial account together with its properties should be transferred to the next Executive Committee within one month after election.


ARTICLE 4. REVISION, INTERPRETATION AND RATIFICATION OF THE CONSTITUTION
Section 1 The UTCSSA constitution is revised and ratified by the Membership Conference. Section 2 Only The Board of Directors has the right to interpret the items of the constitution.
Section 2 UTCSSA is officially registered at the University of Toronto as a non-profit, non-political, social organization of Chinese students and scholars, aiming at establishing and promoting good relationships with other CSSAs, Chinese and Canadian organizations.

那个上面的学生会结构怎么看都打不开,好像没做好,我才发这个作为参考的。
